Terms and Conditions

  1. Introduction
    1. Reshop US, Inc ("Reshop", "Us", "Our" and “We”) is a Delaware corporation that provides a technology-powered service that helps participating retailers ("Retailers") manage refunds for you and enables you to request instant refunds. By opening a Reshop Account, or by continuing to access the Reshop Platform, you agree to these Terms and Conditions ("Terms").
  2. Account
    1. In order to access the Reshop Platform, you must establish an Account.
    2. To be eligible to open an Account you must be an individual who is at least 18 years of age.
    3. If we discover that an Account has been opened or used by a person under the age of 18, we will close the Account, cancel any pending Refund Requests, and reverse any transactions to the extent reasonably practicable. We are not liable for any loss arising from account use by a person who has falsely represented their age.
    4. When applying for the Account, you must provide any information requested in order for us to provide complete access to the Reshop Platform.
    5. Your Account is to be used only by you and may not be assigned or transferred to any other person.
    6. You are solely responsible for maintaining the confidentiality and security of your Account credentials (including but not limited to your email address, Payment Method, phone number and any other information provided in connection with your Account).
    7. We are not liable for any unauthorised access to or use of the Account, except to the extent caused by our failure to take reasonable steps to secure the Reshop Platform.
    8. You must notify us as soon as reasonably practicable if you become aware of, or suspect, any unauthorised access to or use of the Account.
  3. Maintaining Your Account
    1. By registering and holding an Account with us, you agree to:
      1. maintain and promptly update any information in your Account to keep it current, accurate and complete;
      2. not allow others to access your Account at any time;
      3. fully cooperate with us in investigating any improper, unlawful or fraudulent access to or use of your Account;
      4. contact us as soon as reasonably practicable if you believe that your Account may be subject to any unauthorised access or other type of fraudulent activity or security breach;
      5. not open more than one Account for yourself by using a name that is not yours or by providing any other falsified personal information;
      6. not use the Account or the Reshop Platform for any unlawful, fraudulent or improper activity; and
      7. not use the Reshop Platform to scrape, harvest, copy, reproduce, distribute, modify, adapt, create derivative works of, or reverse-engineer any part of the Reshop Platform or its content;
      8. not introduce, transmit or upload any malware, virus, trojan, worm, spyware or other harmful or malicious code to or through the Reshop Platform;
      9. not use any automated script, bot, spider or other automated means to access the Reshop Platform or collect information from it;
      10. not impersonate any person or entity, or misrepresent your affiliation with any person or entity, in connection with your use of the Reshop Platform; and
      11. not use the Reshop Platform in any manner that could damage, disable, overburden or impair our systems or interfere with any other party's use of the Reshop Platform.
    2. If you provide any inaccurate or incomplete information to us, or we have reasonable grounds to suspect you have, we may suspend or terminate your Account.
  4. Refund Program
    1. Reshop provides a refund management service on behalf of Retailers. Where you wish to return a product purchased from a participating Retailer, you lodge a Refund Request through your Account on the Reshop Platform. Reshop manages the refund process on behalf of the Retailer.
    2. You acknowledge and agree that Reshop is not a lender and does not provide an advance of funds to you. All Refund Amounts are paid by the Retailer and Reshop merely acts as the agent of the Retailer to facilitate such payments.
    3. When you submit a Refund Request, we will display to you the key details of the transaction for you to confirm, which will include:
      1. the date by which you must dispatch the goods;
      2. the name of the Retailer;
      3. a description of the goods to be returned;
      4. your original order reference;
      5. any applicable fees;
      6. the reason you have selected for making the Return; and
      7. the Refund Amount.
    4. When your refund has been processed, you will receive the Refund Amount either:
      1. directly to your original payment source; or
      2. to a new payment destination that you identify in the Refund Request.
    5. You may submit a Refund Request through the Reshop Platform at any time within the period outlined by the Retailer’s returns policy. The Refund Request will be processed on the basis of the Eligibility Criteria and the Retailer's returns policy. We will let you know instantly if your Refund Request is approved or declined .
    6. Once you have received the Refund Amount, you are not entitled to any further refund from the Retailer for the same Return. If you separately receive a refund payment (in any form) from the Retailer for the Return in respect of which you have already received the Refund Amount, you must promptly notify us and return the duplicate payment. You must not use any such duplicate amount for your own purposes.
    7. Any disputes between you and us are governed by these Terms. Any disputes between you and a Retailer are governed by the Retailer's returns policy and any other terms that apply between you and the Retailer. We are not able to resolve disputes between you and a Retailer.
  5. Receiving your refund
    1. When your Refund Request is approved, you will be offered one or more ways to receive the Refund Amount. The available options will be displayed to you at the time of approval. Some options may attract a fee, which will be disclosed to you before you confirm your selection.
    2. We generally facilitate the Retailer to make repayment to the original form of payment used to purchase the Returned Goods. If you would like payment made elsewhere, you will need to provide us with accurate payment details for your chosen method. Once you confirm your selection, you may not be able to change it. We are not responsible for any lost or delayed funds arising from incorrect payment details you provide. We may set your selected Payment Method as your default for future transactions, and you can update this in your Account settings at any time.
    3. No fee will be charged for refunds in respect of Returns made under the Australian Consumer Law.
    4. Unless otherwise expressly stated, all amounts payable under these Terms are inclusive of GST.
  6. Payment Authorisation and Information
    1. In order to access the Reshop Platform and make a Refund Request, you are required to provide us with a payment method in the form of a card or bank account (“Payment Method”) in the event that you do not comply with any conditions of the return and the refund.
    2. By using the Reshop Platform, you authorise us to debit or charge your nominated Payment Method(s) for:
      1. any fees applicable to your chosen refund method; and
      2. the Refund Amount (or any applicable portion of it) if you do not comply with any conditions specified in the Retailer’s returns policy, including but not limited to any of the following circumstances:
        1. you do not return the goods to the Retailer within the required timeframe; or
        2. you return goods that do not meet the Retailer’s returns policy (for example, goods that are damaged, used or incomplete).
    3. By providing the Payment Method you are agreeing to the direct debit request (“DDR”) and you authorise Stripe to arrange for funds to be debited from your nominated financial institution account (the "nominated account"). Stripe is acting as an agent for us and Stripe does not provide any goods or services to you.
    4. Either Stripe or us will give you at least 30 days' notice in writing of any changes to the terms of the drawing arrangements.
    5. Stripe will keep information relating to your nominated account confidential in accordance with Stripe’s privacy policy, except where required for the purposes of conducting direct debits with your financial institution. Your personal information will be transferred by Stripe to the United States. If you do not want to provide your personal information to Stripe in connection with the Direct Debit Request, Stripe will not be able to debit your nominated account.
    6. Where the due date is not a business day Stripe will draw from your nominated financial institution account on the next business day.
    7. It is your responsibility to:
      1. Ensure your nominated account can accept direct debits;
      2. Ensure that there are sufficient clear funds available in the nominated account to meet each drawing on the due date;
      3. Advise immediately if the nominated account is transferred or closed or your account details change;
      4. Arrange a suitable payment method if Stripe, the Retailer or we cancel the drawing arrangements;
      5. Ensure that all authorised signatories nominated on the financial institution account to be debited authorise the Direct Debit Request.
    8. Subject to the terms and conditions of your nominated financial institution account and your agreement with us or the Retailer, you may alter the drawing arrangements. Such advice should be received by us at least 7 business days prior to the drawing date for any of the following:
      1. Changing your nominated account number
      2. Deferring a drawing
      3. Altering a DDR schedule
      4. Cancelling the drawings completely
    9. If you require further information, please contact us. Alternatively, you can also contact your financial institution.
    10. If you believe that there has been an error in debiting your account, you should notify us as soon as possible. We will notify you in writing of its determination and the amount of any adjustment that will be made to your nominated account (if any). Stripe will arrange for your financial institution to adjust your nominated account by the applicable amount (if any). Alternatively, you can also contact your financial institution.
    11. The details of your drawing arrangements are contained in the Refund Request.
    12. Stripe reserves the right to cancel the drawing arrangements if three consecutive drawings are dishonoured by your financial institution, and for the us to arrange with you an alternative payment method. Please refer to the terms and conditions of your nominated financial institution account to see whether dishonour fees apply.
    13. This payment authorisation is ongoing and authorises us to charge or debit you, where appropriate, in respect of any Refund Request you make.
    14. You may link more than one Payment Method to your Reshop Account. If we attempt to debit a Payment Method and it is unsuccessful, we may debit that Payment Method again at a later time, or debit any other Payment Method.
    15. We may combine multiple amounts owed on your Account into a single debit if they are due on the same day. If you have insufficient funds to cover the combined amount, we may collect those amounts separately.
    16. By agreeing to this payment authorisation, you authorise us to initiate:
      1. direct debits from any bank account Payment Method;
      2. electronic debits from any debit card Payment Method; and/or
      3. electronic charges to any credit card Payment Method, as applicable, for any fees and amounts owing for Returns that do not comply with these Terms and any Retailer returns policy.
    17. Unless otherwise limited by law, if any payment made under this payment authorisation is rejected or returned unpaid, you authorise us to reinitiate it up to two additional times.
    18. To make a Refund Request through Reshop, you must have at least one valid Payment Method linked to your Account.
    19. You may add, unlink or remove Payment Methods from your Account at any time, except:
      1. while there is a Return in progress and the Returned Good has not been received by the Retailer; or
      2. while any amounts you owe to Reshop remain unpaid.
    20. By adding a Payment Method to your Account, you agree that it will be saved for future transactions.
    21. If you add a Payment Method that is a debit card or bank account, then when we initiate a direct debit from that Payment Method, it is your responsibility to ensure sufficient funds are available at the time of the debit. We are not responsible for any overdraft fees, dishonour fees or other bank charges that arise from any failed direct debit. We recommend you monitor your bank account balance and maintain sufficient funds to cover any amounts you may owe.
  7. Return of Goods
    1. When your Refund Request is approved, you must Return the Returned Goods to the Retailer in accordance with the Retailer’s returns policy (unless instructed otherwise). You must:
      1. return the Returned Goods using the postage instructions provided by the Retailer;
      2. ensure that the Returned Goods are shipped back to the Retailer within 7 days of receiving the Refund Amount into your nominated account in accordance with the Retailer’s returns policy; and
      3. package the Returned Goods in a manner consistent with the Retailer’s requirements and reasonably likely to result in the Returned Goods arriving without damage from transit.
    2. Risk in any Returned Goods remains with you until those Returned Goods are received by the Retailer. Title to the Returned Goods passes to the Retailer on receipt in accordance with the Retailer’s returns policy. Reshop does not take title to any Returned Goods at any time.
    3. The Retailer will assess the Returned Goods and will decline your refund if:
      1. the Retailer considers the goods do not qualify for a refund under its returns policy (for example, the goods are damaged, used, incomplete or not in original packaging);
      2. there is an inconsistency between the Retailer’s sales records and your Refund Request; or
      3. another reason for refusing the Return applies.
    4. If clause 7.3 applies, you are liable to return the Refund Amount to the Retailer as a result of your breach the conditions of return.
  8. Refund Eligibility Criteria
    1. To use the Reshop Platform, your Refund Request and the Returned Goods must meet each of the following requirements at the time of your Refund Request (“Eligibility Criteria”):
      1. You own the goods you are returning or have full authority to return them.
      2. The goods are in returnable condition consistent with the Retailer’s returns policy and have not been damaged, altered or used in a way that would reasonably cause the Retailer to refuse the return.
      3. You have initiated the Return in compliance with the Retailer’s returns policy and the Return window has not expired.
      4. You are entitled to, and have elected to receive, a refund (not a store credit, merchandise credit or exchange).
      5. The Refund Amount is denominated in Australian dollars only.
  9. Reshop Offers
    1. From time to time we may offer you promotions from us, Retailers or other partners. Any such offer may be subject to additional terms disclosed to you at or before redemption. Offers are non-transferable, have no cash value and cannot be combined with other offers. We may modify or withdraw any offer at any time before you redeem it.
  10. Your Representations and Warranties
    1. By using the Reshop Platform, you confirm to us that:
      1. you are a citizen, permanent resident or otherwise residing in Australia; and
      2. you are at least 18 years of age.
  11. Fees
    1. The Retailer may charge fees to you in connection with the Reshop Platform and this will be outlined during a Refund Request and listed on the Reshop Platform and/or the Retailer’s returns policy. This fee is not a fee charged by Reshop.
    2. The fees and charges relate to the ability to access your Refund Amount instantly and do not relate to the Return itself. Where you are making a Return that is required or covered under the Australian Consumer Law, you can access this for free through the Retailer directly by using an alternative method.
    3. We will give you at least 30 days' prior written notice of any increase in fees that apply to your use of the Reshop Platform, unless a shorter period is required by applicable law or is necessary to address an urgent security or compliance matter. If you do not agree to a fee increase, you may close your Account before the increase takes effect. Continued use of the Reshop Platform after the notice period constitutes acceptance of the revised fees.
  12. Breach of Terms
    1. You are in breach of these Terms if:
      1. you provide inaccurate, false or incomplete information, or attempt to defraud Reshop, a Retailer or any of their service providers;
      2. you fail to comply with any term of these Terms or a Retailer’s returns policy.
    2. If you breach these Terms or a Retailer’s returns policy, we may suspend or close your Reshop Account and prevent you from making further Refund Requests. We will not waive any of our rights by delaying action.
    3. If the Returned Goods are not Returned to the Retailer within the timeframe required under clause 7, you must pay to us an administration fee equal to the lesser of:
      1. $10; or
      2. 10% of the Refund Amount(the “Unreturned Item Charge”).
    4. The Unreturned Item Charge represents a reasonable pre-estimate of our administrative costs arising from your failure to Return the Returned Goods and is payable in addition to any obligation to repay the Refund Amount under clause 6.2. You authorise us to debit the Unreturned Item Fee from your nominated Payment Method in accordance with clause 6.
    5. We will not charge the Unreturned Item Charge where your failure to Return the Returned Goods within the required timeframe is caused by circumstances beyond your reasonable control (including delays by any postal, delivery or courier service after you ship the item), provided you have shipped the Returned Goods within the timeframe required under clause 7.1.
  13. Availability
    1. To the maximum extent permitted by law, the Reshop Platform is provided on an 'as is' basis without warranty of any kind.
    2. We do not warrant that the Reshop Platform will be available at all times.
    3. We will use reasonable endeavours to ensure the Reshop Platform is accessible.
    4. We are not responsible for temporary interruptions to the Reshop Platform due to circumstances beyond its reasonable control, including Force Majeure Events, internet failures or equipment failure. Reshop will use reasonable endeavours to notify you of any such interruption.
  14. Privacy
    1. By registering for an Account and using the Reshop Platform, you consent to the collection, use and disclosure of your personal information in accordance with our Privacy Policy, as updated from time to time. Our Privacy Policy is available at Privacy Policy.
    2. We may disclose your personal information to Retailers, payment processors, debt collectors and other subcontractors we engage to operate our business and provide our services.
    3. We may be required by law to disclose your personal information to regulatory or law enforcement authorities. We will comply with all such requirements without notice to you where required or permitted by law.
    4. We implement reasonable technical and organisational security measures to protect your personal information and Payment Method details against unauthorised access, disclosure, alteration or destruction. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.
    5. We retain your personal information and Account data for as long as your Account remains open and, following closure, for such period as is required or permitted by applicable law (including the Privacy Act 1988 (Cth)) or as is reasonably necessary for our legitimate business purposes, including resolving disputes and enforcing our agreements. We will delete or de-identify your information when it is no longer required to be retained.
  15. Your Information
    1. You must promptly notify us of any change to your personal information, including your name, address, email address or telephone number or Payment Method. You agree not to provide false information at any time. We may ask for additional documents to verify any changes.
  16. Limitation of Liability and Indemnification
    1. You indemnify us and hold us harmless against all losses, costs, damages, claims and expenses that we suffer as a result of:
      1. your negligent or wrongful acts or omissions;
      2. your breach of any applicable law, regulation or rule;
      3. any damage you cause to us, our systems or any other person or entity;
      4. your wrongful, unlawful or negligent use of the Reshop Platform; or
      5. your breach of these Terms,but you will not be liable for any loss to the extent such loss is the direct result of our negligent or wrongful acts or omissions.
    2. We indemnify you and hold you harmless against all losses, costs, damages, claims and expenses that you suffer as a result of our:
      1. negligent or wrongful acts or omissions; or
      2. breach of any applicable law, regulation or rule,but we will not be liable for any loss to the extent such loss is the direct result of your negligent or wrongful acts or omissions.
    3. To the maximum extent permitted by law, we will not be liable for any fines, penalties, taxes, exemplary, aggravated or punitive damages, liquidated damages, or any indirect or consequential loss (including but not limited to loss of profit, loss of revenue, loss of business, loss of opportunity, loss of data or loss of contract).
    4. The total aggregate financial liability in respect of claims based on events arising out of or in connection with your use of the Reshop Platform or any related services we provide, whether in contract or tort (including negligence) or otherwise, will in no circumstances exceed the value of re-providing the services less any applicable fees.
    5. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition implied or imposed by law, including under the Competition and Consumer Act 2010 (Cth), where to do so would be unlawful. Where such a guarantee or warranty cannot be excluded but can be limited, our liability is limited to the extent permitted by law.
    6. We do not exclude liability for fraud or wilful misconduct by us, death or personal injury caused by our negligence, or any other liability that cannot be lawfully excluded or limited.
    7. We are not liable for any loss or damage arising from the acts or omissions of any Retailer, except to the extent that we caused or contributed to such loss or damage.
  17. Notices
    1. All notices from you to us must be sent to us using the details found on the Reshop Platform. All notices from us to you will be sent to the email address you registered with your Reshop Account or displayed in the Reshop Platform. Notices are effective when they are sent and no message is received to indicate that the message has not been sent.
    2. By registering for an Account, you consent to receiving electronic communications from us, including transactional messages relating to your Refund Requests and Account, and promotional or marketing messages relating to our services. You may opt out of receiving promotional or marketing messages at any time by following the unsubscribe instructions in those messages or by updating your Account notification preferences. You may not opt out of receiving transactional messages that are necessary for the operation of your Account.
  18. Intellectual Property
    1. All intellectual property rights in the Reshop Platform, including its software, design, content, trade marks, logos and any other materials made available through the platform, are owned by or licensed to Reshop. Nothing in these Terms transfers any intellectual property rights to you.
    2. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Reshop Platform solely for your personal, non-commercial use in accordance with these Terms. You must not use any Reshop intellectual property for any other purpose without our prior written consent.
    3. You must not remove, alter or obscure any copyright, trade mark or other proprietary rights notice that appears on or in the Reshop Platform.
  19. Third-Party Services
    1. The Reshop Platform may contain links to, or integrate with, third-party websites, services or content that are not owned or controlled by Reshop, including Retailer websites and payment processing services. We do not endorse, control or take responsibility for the content, privacy practices or terms of any third-party website or service.
    2. Your use of any third-party website or service is governed by that third party’s terms and conditions and privacy policy. We are not liable for any loss or damage arising from your access to or use of any third-party website or service.
  20. No Cooling-Off Period
    1. There is no statutory cooling-off period or right of withdrawal that applies to the creation of a Reshop Account or submission of a Refund Request. Once you submit a Refund Request and it is approved, it is processed in accordance with these Terms and the relevant Retailer’s returns policy. You may close your Account at any time in accordance with clause 19.2, subject to any outstanding Refund Requests or amounts owed.
  21. Amendment
    1. We may amend these Terms from time to time. We will give you at least 30 days’ prior written notice of any material changes, unless a shorter period is required by applicable law or is necessary to address an urgent security or compliance issue. If you do not agree to any changes, you may close your Reshop Account. If you continue to use the Reshop Platform after the notice period, you will be taken to have accepted the changes. Changes will only apply to Refund Requests made after the notice period expires and any existing Refund Requests continue under the previous terms.
    2. Notice will be given by publication on the Reshop Platform and, where possible, by direct notification to you.
  22. Termination
    1. Either party may terminate these Terms by providing written notice to the other.
    2. You may close your Account at any time provided there are no outstanding Refund Requests in progress and any amounts owed under these Terms have been paid.
    3. We may terminate or suspend your Account if you breach these Terms, we reasonably suspect fraud, or we are required to do so by law or a regulator.
    4. You are not able to submit any new Refund Requests while your Account is suspended.
    5. Termination does not affect any obligations that arose before the date of termination, including any obligation to return goods or repay any amounts owed.
    6. The following clauses survive termination of these Terms:
      1. Clause 16 (Limitation of Liability and Indemnification);
      2. Clause 17 (Notices);
      3. Clause 22 (Termination);
      4. Clause 24 (Governing Law);
      5. Clause 25 (Complaints and Disputes); and
      6. Clause 26 (General).
    7. Any obligations arising from a refund transaction completed before termination also survive.
  23. Force Majeure
    1. We are not liable for any delay or failure to perform our obligations under these Terms caused by a Force Majeure Event. We will notify you through the Reshop Platform (if possible) as soon as reasonably practicable and will use reasonable endeavours to resume normal operations.
    2. For the avoidance of doubt a Force Majeure Event does not extinguish any rights under these Terms and we will use reasonable endeavours to keep the Reshop Platform available.
  24. Governing Law
    1. These Terms, and any disputes arising out of or relating to them, are governed by the laws of the State of Victoria, Australia.
    2. The parties irrevocably submit to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia (Victoria registry), and courts of appeal from them.
  25. Complaints and Disputes
    1. If you have any complaints, problems or issues in relation to our services, please reach out to us directly on the Reshop Platform. We will endeavour to get you the support you need. We endeavour to acknowledge your complaint within 1 Business Day, and provide a response within 21 Business Days.
    2. To assist us in resolving your complaint promptly, please include your details, a description of the issue and any relevant supporting documentation to help us resolve your problem.
    3. The parties must act reasonably in an attempt to resolve the dispute.
  26. General
    1. We will communicate, issue notices and otherwise interact with you using the contact information provided or the Reshop Platform.
    2. The version of these Terms published on the date you access them supersedes all prior versions.
    3. If any provision of these Terms is held to be invalid, unenforceable or illegal for any reason, the remaining provisions will continue in full force and effect.
    4. A failure by us to exercise, or a delay in exercising, any right or remedy under these Terms does not constitute a waiver of that right or remedy.
    5. You must not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without consent, provided that we give reasonable notice and the assignee assumes all of our obligations under these Terms.
    6. Reshop and the Retailer are independent parties who operate separately. No Retailer is authorised to make representations on behalf of Reshop, to amend these Terms, or to otherwise make promises to you on our behalf.
  27. Definitions and Interpretation
  28. In these Terms, the following words have the following meanings:

Account” means a registered account with Reshop to enable access to the Reshop Platform.

"Business Day" means a day other than a Saturday, Sunday or public holiday in Melbourne, Victoria.

"Dispute" means any dispute, claim or difference arising out of or in connection with these Terms, including in respect of any Return, a dispute, discount, deduction, claim, offset, defence to payment, counterclaim or similar position asserted by a Retailer as a basis for non-payment or reduced payment of the Refund Amount.

"Eligibility Criteria" has the meaning given in clause 8 of these Terms.

Force Majeure Event” means an event beyond a party's reasonable control, including:

but expressly excludes financial difficulty, inability to pay fees, or market movements.

"Refund Request" means the details you provide to Reshop when requesting a refund for a Return.

"Reshop Platform" means the Reshop website, mobile application and any other digital interface through which the Reshop service is accessed.

Refund Amount” means the amount payable by the Retailer to you on Return in accordance with the Retailer’s returns policy.

Retailer” means a retailer that has agreed to participate in the Reshop service and through which you have purchased goods.

Return” means the return of goods by you to a Retailer in accordance with the Retailer’s returns policy.

Returned Goods” means goods you have purchased from a Retailer and are returning under the Retailer’s returns policy.

Unreturned Item Charge” has the meaning given in clause 12.3 of these Terms.
